IVEDI deems the personal and/or commercial information provided by you for translation purposes as the confidential information and shall not disclose.

Confidential information may include all information, data, technologies, systems, processes, plans and other information that could have value and be important to you. You may clearly indicate that any material being transmitted is considered as confidential information.

IVEDI shall have no confidentiality obligation for the information if it is already publicly known; known by IVEDI before disclosure by you; learned by IVEDI from a third party with no restriction on disclosure; or disclosed by IVEDI with your prior written approval.

IVEDI shall hold the confidential information in strictest confidence and shall not use the information other than for your benefit. IVEDI shall carefully restrict access to confidential information to third parties, except with your prior written authorization. Upon your request, IVEDI shall return to you any and all confidential information immediately.

IVEDI's duty to hold confidential information in confidence shall remain in effect until the confidential information is no longer a trade secret or until you provide written notice to IVEDI.

Nothing therein shall be construed as giving any rights to any confidential information. IVEDI agrees not to use any confidential information as a basis upon which to develop a similar product.

IVEDI agrees not to disclose its participation in this undertaking, the existence or terms and conditions of the documents, or the fact that discussions are being held with you.

The agreements to be made between us shall be governed and construed in accordance with the laws of Republic of Turkey. If a court finds any provision of the agreements invalid or unenforceable, the remainder of that agreement shall be interpreted as to the intent of the parties. You may obtain, in addition to any other legal remedies, such relief as may be necessary to protect yourself against any breach.

Any notice connected to such agreement shall be in writing and shall be given to the appropriate party by personal delivery or by certified mail.

An agreement and each party's obligations shall be binding on the representatives, assignees and successors of such party.
